Chapter Terms of Service

These terms are the agreement between Quorum (the operator of the chapter platform) and the chapter organization that subscribes to it. They are accepted at checkout by a person authorized to act for the chapter - checking the box means you have that authority. They cover the chapter’s instance: its member site, its admin console, the Quorum mobile apps, and the tools around them.
The short version. The chapter’s data belongs to the chapter, and leaves with it. Fees are the ones shown at checkout, once a year, cancel any time. The platform is independent of every member organization. And nothing in these terms tries to be clever - if something reads two ways, we honor the reading a chapter would expect.
1 · The service
Quorum provides a private platform for running a chapter: forums, the member directory, events and RSVPs, communications, surveys, media, payments tooling, and an administrative console - on the web and in the mobile apps. The platform improves continuously; features evolve, and nothing is removed mid-term in a way that materially reduces what the chapter bought without notice and a remedy.
Where a chapter turns on text-message notifications, texting is strictly member opt-in, and the member-facing program disclosures - consent, message frequency, message and data rates, STOP and HELP - live in the Privacy Policy’s Text messages section and in the program’s full public description at /texts. Mobile numbers and opt-in status are never shared with third parties or affiliates for marketing or promotional purposes.
Text messaging terms. When a member opts in to a chapter’s texting program on Quorum, these terms govern the messages:
- Frequency and rates. Messaging frequency varies with chapter activity. Message and data rates may apply for any messages sent to you from the chapter and to the chapter from you.
- Cancel any time. You can cancel the SMS service at any time by texting STOP to the chapter’s number. After you send STOP, a final message confirms that you have been unsubscribed, and no further messages are sent. To rejoin, text START and the subscription resumes.
- Help. If you are experiencing issues with the messaging program, reply with the keyword HELP for assistance, or contact support@quorum.rsvp directly.
- Carriers. Carriers are not liable for delayed or undelivered messages.
- Privacy. For questions regarding privacy, read the Privacy Policy. The program itself - the opt-in flow and the exact consent language - is described at /texts.
2 · The chapter’s data is the chapter’s
- Ownership. The roster, member content, event records, and everything else the chapter or its members put on the platform belong to the chapter and its members - never to Quorum.
- Use. Quorum processes that data for exactly one purpose: operating the chapter’s instance, as described in the Privacy Policy. No advertising, no resale, no training third-party models, no data brokerage - ever.
- Export. The console exports the chapter’s complete world at any time, in open formats, without asking anyone.
- Departure. If the subscription ends, the export stays available for 60 days; then the instance and its data are deleted, with backups aging out on their fixed cycle.
- Your warrant. The chapter confirms it has the right to load the data it loads - its roster is its own record, gathered and used under the chapter’s own authority and rules.
3 · Members and their content
Members own what they post; the chapter administers its own community, including who holds an account and what its norms are. Sealed rooms are sealed - forum content is not read by Quorum in the ordinary course of operating the service. If content on an instance is unlawful, Quorum may remove it on notice to the chapter.
4 · Fees and renewal
- The price is the one shown at checkout, billed annually. Founding offers (a free first year, a held price) are honored exactly as stated when the chapter took its seat.
- Renewal. The subscription renews yearly. The price for a renewal never changes without at least 30 days’ written notice before the renewal date.
- Cancellation. The chapter may cancel any time, effective at the end of the paid term. A chapter inside a free year may simply walk away - nothing is owed.
- Taxes are additional where the law adds them.
5 · Member payments ride the chapter’s own rails
Dues, event fees, and other member payments run through the chapter’s own Stripe account. The chapter is the merchant of record for its members; Quorum never holds, routes, or touches member funds, and Stripe’s own agreement governs processing. Refund decisions for member payments are the chapter’s.
6 · Acceptable use
- Use the platform lawfully and for running the chapter.
- Don’t load data the chapter has no right to use, and don’t use another organization’s confidential directories or rosters as source material.
- Don’t resell, sublicense, or white-label the platform without a written agreement.
- Don’t probe, overload, or disrupt the service or other chapters’ instances.
7 · Confidentiality
Quorum treats the chapter’s data and non-public information as confidential, and operator access is limited to what running and supporting the service requires. Each side keeps the other’s non-public information shared during onboarding and support to itself.
8 · Service and support
Quorum runs the platform with commercially reasonable care - encrypted connections, independent backups, and prompt attention when something breaks. Support is by email and the concierge line on the Begin page. There is no formal SLA at this stage, and that is stated here plainly rather than dressed up.
9 · Disclaimers
The platform is provided “as is” and “as available.” Quorum does not warrant that the service will be uninterrupted or error-free. Nothing in this section limits what the law does not allow to be limited.
10 · Liability
Neither side is liable to the other for indirect, incidental, special, or consequential damages. Quorum’s total liability under this agreement is capped at the fees the chapter paid in the 12 months before the claim arose - or USD 100 if the chapter has not yet paid fees. These limits do not apply where the law forbids them, or to a party’s breach of Section 7 or misuse of the other’s data.
11 · Indemnity
The chapter stands behind its own data and conduct: it will defend Quorum against third-party claims arising from data or content the chapter loaded without the right to, or from its unlawful use of the service. Quorum stands behind its platform: it will defend the chapter against third-party claims that the platform itself, as provided, infringes their intellectual property.
12 · Independence
Quorum is an independent product and is not affiliated with, endorsed by, or sponsored by YPO (Young Presidents’ Organization), EO, or Vistage. Organization names appear solely to describe compatibility. A chapter’s relationship with its parent organization is its own: subscribing to Quorum is a chapter decision, made under the chapter’s own authority and its organization’s own rules, and the chapter confirms it has the standing to make it.
13 · Term, suspension, termination
- The agreement runs by annual term and renews with the subscription.
- Quorum may suspend or terminate for non-payment or material breach - with written notice and 14 days to cure wherever cure is possible.
- Either side may decline renewal for any reason.
- On any termination, Section 2’s departure terms apply: export first, deletion after.
14 · Changes to these terms
These terms are versioned by date, and the version a chapter accepted is recorded with its application. If the terms materially change, the chapter’s named contact is emailed at least 30 days before the change takes effect; continued use after that date is acceptance of the new version.
15 · General
This agreement is governed by the laws of the State of California, with venue in its state and federal courts. It is the entire agreement about the platform, replacing prior discussions. Neither side may assign it without the other’s consent, except to a successor of substantially all its business. If a term is found unenforceable, the rest stand. A right not exercised is not a right waived.
